Terms of use

This Terms of Use ("Terms") describes terms and conditions which you ("user", "you") shall follow to be able to use Satorify.io ("Website", "Satorify" "we", "us" and "our") and its related applications and services ("Services").

Enforcement & Amendments

These Terms of Use constitutes a binding agreement between Satorify and the user as soon as the user visits the Website and uses Services. By doing so, the user confirms that he has read and accepted these Terms of Use in their entirety before finishing the registration procedure.

The user accepts that Terms of Use may be updated by Satorify from time to time. If the user does not read and accept the Terms of Use in its entirety he should not use or continue using the Website.

You expressly agree that you will not use our Services, nor any of them, if any applicable law, rule or regulation in your country prohibits, or will prohibit, you at any time from doing so.

We reserve the right to alter, amend or modify these Terms from time to time, in our sole discretion. We will provide you with notice of such changes by posting the amended Terms via our Website. The amended Terms will be deemed effective immediately upon posting on Website.

Registration

To be able to use all possibilities and functionality of our Services you shall go through the registration process and create a Satorify Account. "Satorify Account" is a user account accessible after the registration process and via the Services where the user may earn or win and request to make a crypto assets Transfer. When you create a Satorify Account you oblige to:

• provide accurate e-mail, which belongs to you;
• maintain the security of your Satorify Account and wallets and promptly notify us if you discover any suspicious activity related to your account;
• agree to pass through AML/KYC procedures , which may be applied to You from time to time. During the AML/KYC procedures, Satorify reserves the right to request additional information and documents, which are aimed without limitation to identify our user and to prove the source of the funds;
• take responsibility for all activities that occur under your Satorify Account.

Eligibility

Prior to your use of the Services and on an ongoing basis you represent, warrant, covenant and agree that:

• you use our Services at your sole option, discretion and risk;
• you are solely responsible for any applicable taxes which may be payable while using our Services;
• you are at least of legal age according to your relevant jurisdiction;
• you agree to pay the fees for services or Transfers completed via Website as defined by our Website, which We may change from time to time;
• there are risks, associated with Internet-based system, such as the failure of hardware, software, and Internet connections and with the Blockchain Protocol, such as any malfunction, unintended function, unexpected functioning of or attack on the Blockchain protocol; including unknown vulnerabilities in Blockchain related technology including crypto-assets;
• you can Transfer only those crypto assets which belongs to you;
• you shall provide correct information for constructing Transfer (e.g. payin and payout wallet address). Such wallet addresses shall not be associated with terrorism, fraudulent, scam or any type of illegal activity.
• you agree that only one Satorify account may be created by household
• you agree that any attempt to defraud the Satorify system by any means determined by us, will result in forfeiture of all tokens.
• transfers via our Website cannot be canceled by Satorify. Therefore, you agree to check the details of your Transfer details before making such Transfer. You further agree that Satorify is not responsible for your crypto assets once they have been sent outside of the Website. Moreover, you agree that Satorify doesn’t guarantee the uptime of the Services.

You further represent, agree and warrant, that you will not violate any law, contract, third-party right or commit a tort by accessing or using the Services, and that you are solely responsible for your actions and/or inactions while using our Services. Without prejudice to the foregoing, you represent, agree and warrant, that YOU WILL NOT:

• create more than one Satorify account per household, and that no household shall be comprised of more than fifteen (15) users.
• connect more than any one type of social media account to my Satorify account. For example, you cannot have more than one Facebook, Twitter, or Telegram account respectively connected to your Satorify account.
• defraud the Satorify system by any means determined by us in our sole discretion, including creating multiple accounts or participating in the same claim more than once. N.B. Any form of fraudulent activity will result in forfeiture of all tokens and/or credits.
• use our Services (or immediately cease using those Services) if any applicable law in your country prohibits, or will prohibit, you at any time from doing so;
• use our Services to participate in fraudulent activity, or any type of illegal activity;
• provide false, inaccurate, or misleading information;
• attempt to modify, decompile, reverse-engineer or disassemble our software and/or related technology in any manner whatsoever;
• use any robot, spider, crawler, scraper or other automated means or interface not provided by us to access the Services or to extract any data whatsoever;
• attempt to circumvent any content filtering techniques we employ, or attempt to access any service or area of our Services that you are not authorized to access;
• develop any third-party applications that interact with our Services without our prior knowledge and express written consent; nor
• encourage or induce any third party to engage in any of the activities prohibited under this Section.

BY REGISTERING AS HEREINABOVE PROVIDED, YOU AGREE THAT YOU SHALL INDEMNIFY AND HOLD US HARMLESS AGAINST ANY AND ALL CLAIMS, DEMANDS AND DAMAGES, WHETHER DIRECT, INDIRECT, CONSEQUENTIAL OR SPECIAL, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA OR LOSS OF ASSETS, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ORIGINATED FROM OR IN ANY WAY CONNECTED WITH THE INVALIDITY OR BREACH OF ANY OF THE PROVISIONS OF THIS SECTION AND THE ENTIRE TERMS.

Provided Services

Satorify is a platform which provides you with a possibility to complete tasks and earn or win Prizes and/or a type of crypto asset(s), as herein further described as "Crypto Asset" as used herein shall be deemed to mean type(s) of assets which can only and exclusively be transmitted by means of blockchain technology, including but not limited to digital coins and digital tokens and/or any other type of digital mediums of Transfer, such as Bitcoin, Ethereum, ERC-20 type tokens, etc.

Our Website does not provide custodial services. One element of the Satorify system is “Cryptocurrency Credits”. The Satorify system keeps track of the cryptocurrency earned or won (hereinafter referred to as “Cryptocurrency Credits” or “Credits”). Once a user qualifies to withdraw Credits from the Satorify system, only then is an actual cryptocurrency asset transferred to users’ wallets, which are not, nor have ever been, owned by Satorify. In some cases, a user may, however, transfer an actual crypto asset into the system to be used for purchases within the system. In these cases, the cryptocurrency will immediately become the property of Satorify and will not be held in custody for the user and cannot be refunded. It is up to the user to utilize or spend the cryptocurrency in its entirety in the Satorify Shop.

In limited cases (such as where necessary to carry out AML/KYC procedures), your Deposit or Withdrawal may be delayed. Withdrawal limitations may be amended or changed from time to time. Limitations may include minimum or maximum number of credits that can be exchanged for tokens and/or amount of time credits must remain in the user’s account before transfer of actual cryptocurrency can occur.

YOU HEREBY UNDERSTAND AND ACKNOWLEDGE THAT DELAYS ARE POSSIBLE; YOU HEREBY AGREE TO INDEMNIFY AND HOLD US HARMLESS AGAINST ANY CLAIMS, DEMANDS AND/OR DAMAGES, WHETHER DIRECT, INDIRECT, CONSEQUENTIAL OR SPECIAL, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE TRANSFER DELAY, WHETHER ORIGINATED FROM OUR FAULT OR NOT.

Gamification and Prizes

Users of the Satorify system have the option to earn and collect cryptocurrency credits to be used in a gamified system to win prizes, instead of redeeming actual cryptocurrency. This section of the terms and conditions explains this system.

Prizes

Prizes which can be earned or won on Satorify will vary, and descriptions will be posted from time to time on the User Dashboard of the users’ accounts. Prizes are earned or won by collecting twelve (12) randomly generated cards from the Prize’s Card Collection (see below). When a user has collected twelve (12) unique cards and completes the Card Collection, they will receive the Prize related to that Card Collection. There may be times when the Prize initially advertised becomes unavailable by the time a User completes the Card Collection for that Prize. In these cases, a similar Prize or Product of equal or greater value will be substituted.

Shipping

In order to verify the correct shipping address for the Prize winner, the Shipping Date will be no less than ten (10) business days after the User redeems the Card Collection and accepts the Prize. Prizes or Products that are earned or won will be shipped to the address provided by the user, unless the user instructs Satorify to send them elsewhere before the Shipping Date. Satorify is not responsible for Prizes or Products shipped to the wrong address. In some cases, a prize winner may live in a country or area where shipping a prize is not possible or cost prohibitive. In these cases, Satorify reserves the right to substitute and send to the winner fiat currency or Bitcoin at the equivalent value of the prize that was won.

Satorify uses a third-party, drop-shipping, ecommerce company for product fulfillment. Satorify will pay for the cost of normal drop-shipping to locations serviced by this third-party company. Satorify is not responsible for shipping delays or extra shipping costs caused by third-party fulfillment and/or shipping companies. Satorify is not responsible for any customs duties or fees associated with importation of Prizes and Products into recipient’s country.

Southeast Asia： about 27-37 days
Others: about 35~48 days
Estimated Delivery Times are average times. We always strive to deliver more quickly than the EDTs.

Crypto Power

Satorify users perform tasks on the Satorify.io website and earn cryptocurrency credits that can be redeemed for real cryptocurrency and exchanged for Bitcoin, Ethereum or USD on one of our partner exchanges. Users also have the option to collect the cryptocurrency credits to move up to higher levels of the gaming system. Higher levels generally earn the user greater amounts of Cryptocurrency Credits and more chances to collect cards that lead to real prizes such as smart watches, cellphones, tablets, etc.

Here are the ways that Cryptocurrency Credits can be earned:

• Performing tasks - Users earn a certain amount of Cryptocurrency Credits for completing tasks on the Satorify.io website
• Completing training - Users can earn credits by completing training for higher level tasks
• Opening Chests - Cryptocurrency Credits can be won by opening Chests
• Active Time Awards - Cryptocurrency Credits are awarded to users who stay active on the site
• Completing daily tasks - Users can earn Cryptocurrency Credits for logging into the site every day and redeeming the daily task awards
• Special gifts - From time to time special gifts of Cryptocurrency Credits are offered just for fun
• Referrals - Users earn Cryptocurrency Credits for referring new users to Satorify.io
• Chrome extension - Exclusive Cryptocurrency Credits are available to users who have the Satorify Chrome extension installed

Chests

Chests are your chance to win Cards or Cryptocurrency Credits just by opening them. Each Chest randomly awards either Cryptocurrency Credits or prize collection cards based on a formula set by Satorify. For example, each Chest that is opened may have a 30% chance to award Cryptocurrency Credits and a 70% chance to award a collection Card. This formula is for example only and actual formulas may change over time. Formula changes will be at the discretion of Satorify.io.

Currently there are five (5) types of Chests on Satorify.io - Bronze, Silver, Gold, Epic and Legendary. Silver Chests contain lower value awards. Legendary Chests contain the highest value awards. By default, a certain number of Chests are available to users every day. However, users can increase the number or types of Chests they receive by leveling up (moving to higher levels) or through other actions on the site.  Here are the ways Chests are awarded:

• Collecting Cryptocurrency Credits - the principal way to earn Chests is by collecting  Cryptocurrency Credits. The more Cryptocurrency Credits a user collects in their account, the higher level they will achieve and the more number and value of Chests will be eligible to open.
• Active Time Awards - Users can earn Chest chances by remaining active on the site. The longer a user stays on the site, actively participating in tasks or other actions, the number and value of the Chests increases.
• Referral Milestones - In addition to earning Cryptocurrency Credits for referring new users to Satorify.io, users can participate in Referral Milestones (see below) and earn Chest chances. The more referrals a user sends to  the site, the higher the number and the higher value of the Chests they will receive.

Card Collections

When a campaign to win a prize is set up and added to the system, twelve (12) Cards are generated and randomly assigned a percentage (%) chance of being uncovered. This means that each Prize Card Collection contains a few Cards that are more difficult to uncover. To win a prize, members compete to uncover and collect all twelve (12) cards generated for each Prize’s Card Collection before another user does it first. The first user to discover and collect a full set of 12 Cards wins the prize.

Each card created at the beginning of the campaign  can be one of 4 levels of chance. For example, they may be set this way:

• Level 1 Cards - 70%,
• Level 2 Cards - 26%
• Level 3 Cards - 3%
• Level 4 Cards - 1%

If there are three (3) prizes available, there are a total of 36 cards, spread across 4 chance levels. All the cards in an assigned chance level have the same chance to be selected after the level is decided.

Let's assume that we have 18 cards in Level 1, 8 cards in Level 2, 6 cards in Level 3 and 4 cards in Level 4. Below is an example of how the system selects the card credited to you:

First, based on the chance %, we determine the level from which a card should be awarded. This is a random selection and is all based on the chance %, i.e Level 1

Second, we select a random card from all the cards assigned to that level, i.e Level 1 has 18 cards (from all collections), and we randomly select one to award.

Here are some ways users can earn Cards in the Satorify.io system:

• Chests - For every Chest that a user opens, there is the possibility of winning a Card that will be automatically added to the Card Collection
• Performing Tasks - Some tasks on the Satorify website will award Card(s) in addition to regular Cryptocurrency Credits
• Special gifts - From time to time special gifts of Cards are offered just for fun
• Power-ups - In The Shop, a user will be able to buy a single Card using Cryptocurrency Credits or with real cryptocurrency deposited into for use only in The Shop.
• Card Exchange - users can spend Cryptocurrency Credits in The Shop to exchange duplicate Cards for a chance to acquire a new Card they still need to complete their Card Collection.

Wild Cards

A User can only win a prize if all required Know Your Customer (KYC) documentation has been submitted and accepted. Users who have not completed KYC requirements are nevertheless able to use Satorify, complete tasks, earn Cryptocurrency Credits, play the games and earn cards for the Card Collections. However, in this case, any cards earned toward the Card Collections will be labeled Wild Cards. Once a User has properly verified KYC documentation on file, all earned Wild Cards can then be converted to Collection Cards and applied toward the prize Card Collection. 

The Shop

The Shop is where users can use Cryptocurrency Credits or actual cryptocurrency to purchase more chances to win Chests and Cards to increase their odds of winning the prize. Here are a few options for users in The Shop:

Power-up Cards with Cryptocurrency Credits - Users can exchange Cryptocurrency Credits for Cards in the hope of uncovering a Card they need to complete a Card Collection. But, users need to be aware that exchanging Cryptocurrency Credits for Cards will reduce the Cryptocurrency Credits in their accounts and may drop them to a lower Cryptocurrency Credits Power level. So, users need to be strategic about exchanging their Cryptocurrency Credits.

Duplicate Card Exchange - Because of the chance factor involved uncovering Cards, users will by default collect duplicate Cards that will not count toward completing the Card Collections. In The Shop they can exchange Cryptocurrency Credits along with the duplicate cards for a chance of uncovering Cards needed to complete the Card Collection.

Power-ups or Exchange Duplicate Cards with Actual Cryptocurrency - Users can also purchase supported cryptocurrency from an exchange and use it to purchase Power-ups and Card exchanges. In these cases, any cryptocurrency deposited into the Satorify system can only be used in The Shop. Because Satorify does not provide custodial services, deposited cryptocurrency can only be used to purchase items in The Shop. This may include other products besides those mentioned above. Deposited cryptocurrency cannot be withdrawn from the Satorify system.

Active Time Awards

All users of Satorify qualify for awards based on the amount of time they spend on the site. Like Chests, the awards are based on the Cryptocurrency Credits level of the user and the amount of active time. The longer the user stays active on the site, the more rewards they receive and the better chance they have to beat someone to the big prize.

Teams

In addition to performing tasks and earning or winning Cryptocurrency Credits and Cards as an individual, the user has the option to form or join a Team. Any registered user of Satorify.io can create or join a Team. If a user invites a new prospective user to join Satorify.io as a member of their Team, the new user will be added to the current users Team on registration. The user who creates the Team is the Team Owner. Teams must have a total of three (3) members before tasks or any other earning or winning opportunities unlock.

Teams have access to tasks and opportunities to earn that are not available to individual accounts. Other advantages of Teams are:

Referrals

Satorify.io has an affiliate program that awards users Cryptocurrency Credits for every other user they refer. In order for referral Credits to be tracked and awarded, users must use their unique referral link in the Referral section of the Dashboard. There are no limits to how many users can be referred, however the Cryptocurrency Credits are not awarded until the referred user completes KYC and earns a certain number of Cryptocurrency Credits themselves. The number of Cryptocurrency Credits awarded and the requirements to activate may change over time. Personal Milestone Referrals

Personal Milestone Referrals work like regular referrals except users get an extra reward for hitting certain milestones. Here is an example of how it may work:

City Milestone Referrals

City Milestone Referrals are the same as Personal Milestone Referrals except everyone from the same city works together to refer as many people as possible from their city. Each milestone is earned from collective team work - all the Satorify users from the same city are working toward each City milestone. When a new referral from their city joins Satorify and meets the requirement, every member from that same city gets a credit toward the milestone. It is important that users share and refer the Satorify site with their family, friends, neighbors and colleagues from the same city so that everybody contributes to reach the milestones. . City Milestone Referrals are only activated and available to users who have submitted Know Your Customer (KYC) properly verified documentation that has been accepted and approved by Satorify.

Here is an example of how City Milestone Referrals will work. First, look at the table:

Let's assume User 1 lives in Kolkata. He has submitted all of his KYC documentation which makes him eligible to earn City Milestones (the option is only displayed to users who have completed KYC.) User 1 refers 35 new members from the same city, who complete KYC themselves and meet minimum requirements. User 1 earns Cryptocurrency Credits for Personal Milestones but has also contributed 35 City Milestone referrals to the City "Team." User 2 is also from Kolkata and he recently completed KYC so his City Milestones become activated. User 2 refers 17 new Satorify members from Kolkata, who complete KYC and meet the minimum requirements. User 2 earns Cryptocurrency Credits for Personal Milestones but has also contributed 17 City Milestone referrals to the City "Team." In this case a total of 51 new members have joined because of User 1 and 2, which unlocks the City Milestones Award and Bonus which is applied to the accounts for all activated users in Kolcata.

Country Milestone Referrals

Country Milestone Referrals are the same as Personal Milestone Referrals except everyone from the same city acts together to refer as many people as possible from the same country. Each milestone is earned from collective team work. All the Satorify users that are from the same country are working toward each Country milestone. When a new referral from their country joins Satorify and meets the requirement, every member from that same country gets a credit toward the milestone. It is important that users share the Satorify site with their family, friends, neighbors and colleagues from the same country so that everybody contributes to reach the milestones. Country Milestone Referrals are only available to users who have submitted Know Your Customer (KYC) documentation.

Here is an example of how Country Milestone Referrals will work. First, look at the table:

Assume 50 different Users live in India. They have all submitted properly verified KYC documentation which makes them eligible to earn Country Milestones (the option is only displayed to users who have completed properly verified KYC.) The Users collectively refer 5,000 new members from the same Country who complete KYC themselves and meet minimum requirements. They all earn Cryptocurrency Credits for Personal Milestones but have also contributed 5,000 Country Milestone referrals to the Country “Team.” In this case a total of 5,000 new members have joined because of their collective referrals, which unlocks the Country Milestones Award and Bonus, which is then applied to all of the activated Country Milestone accounts in India.

Quests

Quests provide a way for users to level up faster and compete for the coveted Shapeshifter Card which they can exchange for any missing card in a collection. This is an almost sure way to claim a prize.

There are currently daily, weekly and monthly tasks, which all need to be completed in total to acquire a Shapeshifter Card.

Third-Party Content and Services

For the purposes herein, "Third-Party Content" shall mean the content provided by third parties, including without limitation, links to web pages of such parties or content which may be represented on the Website. At the same time "Third-party service" refers to any platform or network in which crypto assets belong to you or where you are the beneficial owner of crypto assets; and this platform is maintained by a third party outside of the Services; including, but not limited to third-party accounts.

No control over third-party services. You may be charged fees by the third-party service provider. Satorify is not responsible for any third-party services' fees. You are solely responsible for your use of the third-party service, and you agree to comply with all terms and conditions applicable to any third-party service.

While using Satorify, you may view Third-Party Content. We do not control, endorse or adopt (unless otherwise expressly stated by Us) any Third-Party Content and shall have no responsibility for Third-Party Content, including without limitation material that may be misleading, incomplete, erroneous, offensive, indecent or otherwise objectionable. In addition, your business dealings or correspondence with such third parties are solely between you and the third parties. We are not responsible or liable for any loss or damage of any sort incurred as the result of any such dealings, and you understand that your use of Third-Party Content, and your interactions with third parties, is at your own risk.

Intellectual Property

We retain exclusive rights to all of our intellectual property assets ("IP") including but not limited to all copyrights, trademarks, patents, service marks, trade names, software code, icons, logos, characters, layouts, trade secrets, buttons, color scheme and graphics whether in the form of trade secrets or are protected (now or in the future) by local and international intellectual property laws and treaties. No license of any kind is granted in connection with your use of our Website.

You may not alter, modify, reproduce, distribute or commercially exploit any materials, including text, graphics, video, audio, software code, user interface design or logos.

In case you upload or share any feedback, suggestion, idea or other information or material ("Content") with us you automatically grant us a worldwide license to use your content. It becomes part of the public domain as long as it remains on our website. It can be used for marketing or any other purposes at our sole discretion.

Communications

You agree and consent to receive electronically all Communications that Satorify may be willing to communicate to you in connection with your Satorify Account and/or use of our Services. For the purposes hereof “Communications” shall mean all and any communication, agreement, document, receipt, notice and disclosure, which may be from time to time addressed to User by Satorify. You may withdraw your consent to receive electronic Communications by sending a withdrawal notice to Support. If this is a case, you waive your right to plead ignorance. If you decline or withdraw consent to receive electronic Communications, Satorify may suspend or terminate your use of the Website.

Limitation of Liabilities

Except as expressly provided to the contrary in a writing by Us, our services are provided on an "As is" and "As available" basis. WE EXPRESSLY DISCLAIM, AND YOU WAIVE, ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT AS TO OUR SERVICES, INCLUDING THE INFORMATION, CONTENT AND MATERIALS CONTAINED THEREIN.

Except as otherwise required by law, IN NO EVENT SHALL SATORIFY, OUR DIRECTORS, OFFICERS, MEMBERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL OR SPECIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF OR INABILITY TO USE OUR SERVICES, INCLUDING WITHOUT LIMITATION ANY DAMAGES CAUSED BY OR RESULTING FROM RELIANCE BY ANY USER ON ANY INFORMATION OBTAINED FROM Satorify, OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR EMAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM A FORCE MAJEURE EVENT, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO Satorify'S RECORDS, PROGRAMS OR SERVICES.

We strive to protect our Users from fraudulent and scam activities in the sphere of crypto assets. It is possible, however, that some crypto assets may be construed as a fraud, scam or other activity, recognized by the laws as illegal and/or noncompliant with legal requirements. We reserve the right to prohibit, and to discontinue, any Transfers on our Website with such crypto asset at our sole discretion, without any prior notice to you and without publication of the reason for such decision, whenever this comes to our knowledge.

YOU INDEMNIFY AND HOLD SATORIFY HARMLESS AGAINST ANY CLAIMS, DEMANDS AND DAMAGES, WHETHER DIRECT, INDIRECT, CONSEQUENTIAL OR SPECIAL, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ORIGINATED FROM, OR IN ANY WAY CONNECTED WITH, THE PROHIBITION AND DISCONTINUATION OF TRANSFERS WITHIN< TO OR FROM OUR WEBSITE REGARDING ANY CRYPTO ASSET.

Termination of the Terms

We reserve the right to terminate these Terms and delete your Satorify Account and registration (including your username and password) in the following cases:

• If for any reason We decide to discontinue to provide the Service, by providing at least a 3 (three) calendar days’ notice (which shall be provided by e-mail);
• If We believe that you have breached any of the terms of these Terms, immediately without notice;
• If We decide to terminate our Services, immediately without notice.

Applicable Law; Arbtitration

• You and Satorify agree to arbitrate any dispute arising from these Terms or your use of the Services, except for disputes in which either party seeks equitable and other relief for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets or patents.
• You and Satorify agree to notify each other in writing of any dispute within thirty (30) days of when it arises. Notice to Satorify shall be sent to [email protected]
• Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the London Court of International Arbitration (LCIA) Rules, which Rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be London, England, UK. The language to be used in the arbitral proceedings shall be English. The governing law of the contract shall be the substantive law of the State of Texas, US, without giving effect to any conflict of laws principles that may provide for the application of the law of another jurisdiction
• No group of Users may commence against Satorify a class action, class arbitration or representative action or proceeding.

Miscellaneous

These Terms contain the entire agreement and supersede all prior and contemporaneous understandings between the parties regarding the Services. In the event of any conflict between these Terms and any other agreement you may have with Satorify, the terms of that other agreement will prevail only if these Terms are specifically identified and declared to be overridden by such other agreement. Our failure or delay in exercising any right, power or privilege under these Terms shall not operate as a waiver thereof. The invalidity or unenforceability of any of these Terms shall not affect the validity or enforceability of any other of these Terms, all of which shall remain in full force and effect. You may not assign or transfer any of your rights or obligations under these Terms without the prior express written consent from Satorify. Satorify may assign or transfer any or all of its rights under these Terms, in whole or in part, without obtaining your consent or approval.
